Terms of Service

1. Agreement to Terms

By accessing or using ivanodeke.com ("the Website") and engaging my freelance services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Website or engage my services.

2. Services

Ivan Odeke ("I", "me") provides freelance web development, mobile app development, API development, SEO, digital marketing, and related technology services ("Services"). The scope, timeline, and price of any specific engagement will be agreed in writing (email or contract) before work begins.

Prices listed on the Website are starting estimates only. The final quote is tailored to your specific requirements and confirmed before payment.

3. Payments

• A deposit of 50% of the agreed project fee is required before work begins, unless otherwise agreed in writing.
• The remaining balance is due upon project completion before final files or access are delivered.
• Monthly retainer services are billed at the start of each billing period.
• Payments are processed securely via PesaPal. I do not store your payment card details.
• Late payments (more than 14 days overdue) may result in work being paused until payment is received.

4. Refunds & Cancellations

• Deposits are non-refundable once work has commenced.
• If you cancel a project before work begins, a full refund of the deposit will be issued.
• For monthly retainers, you may cancel with 14 days' written notice. No refund is issued for the current billing period.
• If I am unable to complete the agreed work through my own fault, a proportionate refund will be provided.

5. Intellectual Property

Upon receipt of full payment, you own the final deliverables produced specifically for your project (custom code, designs, content). I retain the right to:

• Display the work in my portfolio
• Reuse generic code patterns, utilities, and frameworks developed independently
• Retain ownership of any third-party tools, libraries, or assets used (subject to their respective licences)

All content on ivanodeke.com — including text, design, code examples, and images — is owned by Ivan Odeke unless otherwise stated and may not be copied, reproduced, or redistributed without written permission.

6. Client Responsibilities

You agree to:

• Provide accurate information, content, and materials required for the project
• Respond to requests for feedback or approvals within a reasonable time (typically 5 business days)
• Not use the deliverables for any illegal, harmful, or unethical purpose
• Not copy, reproduce, or reverse-engineer any proprietary methodology or process

7. Revisions

Each project package includes a defined number of revision rounds as stated in the service description. Revisions beyond the included rounds will be billed at an agreed hourly rate. Revisions must be requested within 14 days of delivery.

8. Limitation of Liability

To the maximum extent permitted by law, Ivan Odeke shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Website or Services, including but not limited to loss of revenue, data, or business opportunity.

My total liability for any claim arising from a service engagement shall not exceed the total fees paid by you for that specific project.

9. Acceptable Use

You agree not to:

• Use the Website in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Website
• Transmit any harmful, offensive, or malicious content through forms or communications
• Use automated tools to scrape, crawl, or extract content from the Website

10. Changes to Services & Terms

I reserve the right to modify or discontinue the Website or Services at any time. These Terms may be updated periodically. The "last updated" date above reflects the current version. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of Uganda. Any disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.
